Terms of Service

Thank you for choosing Kvinivel. Throughout this document, references to “we”, “us”, this “website”, or this “site” shall be understood as Kvinivel Limited. These Terms of Service govern your access to and use of the Site and the Services provided by Kvinivel. By using the Site or any of the Services, clients and other users agree to be bound by the following Terms of Service. Please carefully review these Terms of Service.
1. Agreement to Terms of Service
1.1 Use of the Site or any of the Services signifies acceptance of these Terms of Service. If you do not agree with these Terms of Service, you must refrain from using the Site or any Services.
1.2 We reserve the right to modify this Agreement, in whole or in part, at our sole discretion, at any time. Modifications will be effective when posted on our Site. Please check these Terms of Service periodically for updates by reviewing the last updated date. Modifications that do not substantially and adversely affect you, compared to the existing agreement, are acceptable.
1.3 The Terms of Services is a legal contract between Kvinivel and you. A Customer purchasing Solutions on behalf of a third party (such as a Customer’s client or a Subscriber), represents and warrants that it is authorized to make the purchase and enter into the Agreement on behalf of such third party, and the third party is bound by the Agreement.
2. Definitions
Client – The entity or organization using the Site or Services from Kvinivel.
User – Any person or entity using the Site or Services from time to time, at the invitation.
Site – The Internet site is available at https://kvinivel.com/.
Services – The various services made available through the Site and otherwise provided or made available by Kvinivel.
Terms of Service – This Terms of Service agreement.
You, Your – Refers to all users of the Site and Services, including Clients, Users unless expressly specified.
3. Account Terms
3.1 We provide the Services to the Client on these Terms of Service.
3.2 Users must provide an email address to use the Services.
3.3 You are responsible for maintaining the security of your account and password. Kvinivel is not responsible for any loss or damage arising from your failure to comply with this security obligation.
3.4 You may not transfer any of your rights to use the Services or assign this Agreement to another person or entity without prior approval from us
3.5 We use industry-standard security measures to protect Customer Content.
3.6 We will promptly report any unauthorized access to your Customer Data and make reasonable efforts to remedy any breach of security.
3.7 In the event of required notifications to persons included in your Customer Data, you are solely responsible for such notifications at your expense.
4. Cross Account Type Mapping
The Account Type Structure in the Kvinivel Services solution matches the Account Type Structure of the underlying accounting software (QuickBooks). Cross Account Type Mapping allows the User to change or alter that structure dramatically, thereby potentially materially affecting all the calculated numbers. If not used properly, this can either intentionally or unintentionally result in expenses being mapped as income or income being mapped as expenses as an example. This could, if used improperly, materially affect the financial and/or tax reporting of the User. Kvinivel makes no warranty or representation or accepts any liability for a User incorrectly using the Cross-Account Type Mapping function.
5. Payment, Refunds
5.1 Payments will be charged using any credit card or other payment mechanism we have on record for the Client.
5.2 The Service is billed monthly, and those fees are non-refundable. There are no refunds or credits.
5.3 Clients are responsible for payment of all taxes, levies, or duties.
5.4 Clients will be notified of any changes in payment before the next billing cycle.
5.5 Prices of all Services are subject to change by us upon 30 days prior notice. Such notice may be provided by us at any time by email.
5.6 Kvinivel is not liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.
6. Data Privacy And Data Sharing Among Entities
6.1 The Service also allows an organization to create user accounts for that organization’s clients. Data from such entities and clients may be entered, analyzed, and managed within the Service.
6.2 Importantly, you are accountable to ensure the appropriate roles and permissions are applied to avoid data being inappropriately shared among those entities.
6.3 You agree to allow Kvinivel to collect, use, and disclose personal information following the Kvinivel Privacy Policy.
7. Marketing
Unless notified otherwise, Kvinivel may disclose your company as a customer and use your company’s name and logo for promotional content. Kvinivel will be granted a revocable, non-exclusive, non-sublicensable, non-transferable, royalty-free right and license (the “Trademark License”) to use, display and reproduce such party’s name, logo, trademarks, and service marks (the “Trademarks”). Both acknowledge that the other party’s trademark is and will remain the exclusive property of such party.
8. Independent Contractor
Kvinivel is an independent contractor, and both parties agree that no partnership, joint venture, or employer/employee relationship exists between the parties.
9. Force Majeure
We shall not be liable for damages or otherwise for any delay or failure of delivery arising out of causes beyond our reasonable control, including, but not limited to, acts of God, acts of civil or military authority, fires, riots, terrorism, floods, wars, embargoes, power failures, Internet disruptions, hacker attacks, or communications failures.
